 Minutes

Present physically in the meeting room: Commissioner Pam Bertani, Commissioner Boyer-Vine, Commissioner Marty Carr, Commissioner David Clark, Commissioner Elena Duarte, Commissioner Cara Jenkins, and Commissioner Nanci Nishimura

Present on Zoom:  Commissioner Elihu Harris and Commissioner Nat Sterling

  1.  Introductions – Commissioner Dave Clark called the meeting to order at 1:01 p.m.

 

  1. Approval of November 2, 2021 minutes – Minutes were revised to correct the misspelling of Commissioner Nishimura’s first name and to change “approval” to “approve” in #2 of those minutes.  A motion was made and seconded to approve the minutes as revised.  All commissioners voted yes (8 to 0), except Commissioner Elihu Harris who had not joined the meeting at the time of the vote.

 

  1. Discussion of MCLE credits – Commissioners were informed that Commissioner Boyer-Vine applied for MCLE credit for the 2022 Uniform Law Commission (ULC)) Annual Meeting, but credit will be given only if commissioners attend the Annual Meeting in person.

 

  1. ULC dues payment – The dues for the upcoming year were discussed.  A motion was made and seconded to approve payment of the dues by the Office of Legislative Counsel with a letter to accompany the dues payment indicating that no portion of dues shall be used for meetings held in a travel-ban state. All commissioners voted yes (8 to 0), except Commissioner Elihu Harris who had not joined the meeting at the time of the vote.

 

  1. Discussion and vote on acts going final at the 2022 ULC Annual Meeting - Commissioners discussed each act separately to determine California’s vote on each act at the vote-by-state portion of the ULC Annual Meeting.  Commissioner Elihu Harris had joined by Zoom at this point in the meeting. 
    1. Model Public Meetings During Emergencies Act – A motion was made and seconded to vote “aye” at the ULC Annual Meeting.  All commissioners voted yes (9 to 0).
    2. Uniform Alcohol Direct-Shipping Compliance Act – A motion was made and seconded to vote “aye” at the ULC Annual Meeting.  All commissioners voted yes (9 to 0).
    3. Uniform Electronic Estate Planning Documents Act – A motion was made and seconded to vote “aye” at the ULC Annual Meeting.  All commissioners voted yes (9 to 0).
    4. Uniform Telehealth Act – A motion was made and seconded to vote “aye” at the ULC Annual Meeting.  All commissioners voted yes (9 to 0).
    5. Uniform Commercial Code and Emerging Technologies Act – A motion was made and seconded to vote “aye” at the ULC Annual Meeting.  All commissioners voted yes (9 to 0).

A separate motion was made and seconded to give power to the Chair, Vice Chair, and Legislative Liaison collectively to reconsider the position of California on any of the above acts if there were changes made at the ULC Annual Meeting which substantively changed the act.  All commissioners voted yes except Commissioner Marty Carr (8 to 0).  Commissioner Carr abstained.

  1.  Adjournment- A motion was made and seconded to adjourn the meeting.  All commissioners voted yes (9 to 0).  The meeting was adjourned at 1:38 p.m.
