Meeting Minutes

Zoom Meeting

November 2, 2021 – 2:30 p.m. – 3:45 p.m.

 

  1. Introductions:  The meeting was called to order at 2:30 p.m.  The following commissioners were in attendance:  Pam Bertani, Diane Boyer-Vine, Marty Carr, Dave Clark, Elena Duarte, Elihu Harris, Cara Jenkins, Nanci Nishimura, Dan Robbins, Nathaniel Sterling, and Senator Tom Umberg.
  1. Approval of June 25, 2021 Meeting Minutes:   A motion was made and seconded to approved the meeting minutes.  The vote on the motion was 8 to 0 with Commissioners Harris, Jenkins, and Umberg abstaining.
  1. Discussion of legislation from the first year of the 2021-22 legislative session:
  1. Assembly Bill 633:  Commissioner Carr updated that commission on Assembly Bill 633 related to the partition of real property.  The bill was enacted into law.
  2. Senate Bill 103:  Commissioner Boyer-Vine updated the commission on Senate Bill 103 related to faithful electors.  The bill is in the second house of the Legislature.  It was not moved forward in 2021 because of bill limitations in the Senate caused by Covid restrictions.
  1. Discussion of MCLE credits for the 2021 ULC Annual Meeting:  Commissioner Boyer-Vine informed the commission that the last annual meeting was not an approved provider of MCLE credits with the California State Bar.  The commission asked Commissioner Boyer-Vine to work with staff from the ULC Chicago office to apply for retroactive approval and to also apply for approval for the 2022 ULC annual meeting.
  1.  Discussion of possible legislation for second year of 2021-22 legislative session.
  1. Uniform Fiduciary Income and Principal Act:  Commissioner Clark outlined the work he had done over the past year with the California Bankers’ Association and the lobbying entity for the California State Bar’s committee on trust and estates (TEXCOM).  A motion was made and seconded to find an author for this act.  Commissioner Umberg announced that he would abstain from votes on all the acts given his position as the Chair of the Senate Judiciary Committee.  With that abstention noted here for all acts discussed at the meeting, the vote on the motion was 10 to 0.
  1.  Uniform Registration of Canadian Money Judgements Act:  The commissioners discussed this act, but ultimately no motion was made to find an author.
  1. Uniform Protected Series Act:  Commissioner Clark discussed the act and informed the commission that the commission needed to determine the position of the California State Bar on this act.  Commissioner Clark agreed to make the appropriate inquiries and report back to the commission at another meeting.
  1. Uniform Child Abduction Act:  Commissioner Boyer-Vine reported on this act with assistance from ULC Chicago staff.  The commission decided to seek research on the current state of California law in this area to determine whether the act’s subject matter is already covered by state law.
  1. Uniform Commercial Code project:  Commissioner Robbins reported that the ULC is working on a project to update the Uniform Commercial Code to account for changes in technology, including cryptocurrency.  He will bring that updated act to the commission next fall.
  1. Selection of officers: 
    1. A motion was made to appoint Commissioner Dave Clark as chair for a two-year period.  The vote on the motion was 11 to 0.
    2. A motion was made to appoint Commissioner Marty Carr as vice-chair for a two-year period.  The vote on the motion was 11 to 0.
  1.  Adjournment:  A motion was made to adjourn the meeting.  The vote on the motion was 11 to 0.  The meeting was adjourned at 3:45 p.m.
